Indemnity

You agree to indemnify, defend and hold harmless Five Natural, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity (including negligent or wrongful conduct) related to your use of the Site. 

Governing Law and Jurisdiction

The Site is controlled by Five Natural from its office within the Province of Ontario, Canada. This Site can be accessed from all provinces and territories of Canada, as well as from other countries around the world. As each of these places has laws that may differ from those of the Province of Ontario, Canada, by accessing this Site, you agree that all matters relating to access to, or use of, the Site, or any other hyperlinked website, shall be governed exclusively by the laws of the Province of Ontario and the laws of Canada applicable to the Province of Ontario, without regard to the conflicts of laws principles thereof. You also agree and hereby submit to the exclusive personal jurisdiction and venue of the courts of the Province of Ontario and acknowledge that you do so voluntarily. You are responsible for complying with your own local laws.

In the event that any parts of any terms and conditions are held to be indefinite, invalid, illegal or otherwise voidable or unenforceable, the other parts of those terms and conditions will not fail on account thereof, and the balance of the terms and conditions will continue in full force and effect. The terms and conditions on the Site constitute the entire agreement between you and Ontario governing your use of the Site. You may also be subject to other terms and conditions when you access other sites or other portions of the Site (if specified) or if you access or purchase third party content or software. The failure or delay of Ontario in exercising any right or remedy under the terms and conditions or elsewhere shall not constitute a waiver of such right or remedy. Terms of Sale

Five Natural reserves the right to accept or deny any order after placement, at our sole discretion.

Order Cancellation

Five Natural reserves the right to deny and cancel orders anytime after placement, for any reason, at our sole discretion. You will be notified by email, to the email address given during checkout of the decision made by Five Natural to cancel your order. Should your order be cancelled, Five Natural will not be obligated to fulfil/ship your order. After cancellation has taken place, Five Natural will return all monies exchanged, back to the original payment method used during checkout.

Orders may be denied and cancelled in whole, or in part by Five Natural for any the following reasons (though not limited to):

  • Limited product quantities available to fulfil your order
  • Inaccuracies or errors related to product within your order
  • Suspected intent to resell
  • Shipping to any of following locations: warehouses, freight forwarding businesses, hotels/motels
  • Product Recalls, affecting an item within your order
  • Issues determined by Five Natural's fraud prevention department

Refusal of Service

Five Natural does not tolerate abusive or inappropriate language or behaviour. Should a customer exhibit abusive, inappropriate or aggressive behaviour, the Five Natural Customer Care team will, at its sole discretion, have the right to end the telephone call, email correspondence, or online chat (as applicable), and/or terminate the customer's Five Natural account.

Customer Feedback

These Terms of Use govern your conduct associated with the Customer Ratings and Reviews and/or Questions and Answers service offered by Five Natural

By submitting any content to Five Natural you guarantee that:

  • You are the sole author and owner of the intellectual property rights in the content that you submit to us, including any pictures or videos that you decide to add to your Ratings & Reviews ;
  • All "moral rights", including paternity, integrity and association rights that you may have in such content have been voluntarily waived by you;
  • All content that you post is accurate;
  • You are a resident of a Canadian Province or Territory;
  • You are at least 18 years old;
  • Use of the content you supply does not violate these Terms of Use and will not cause injury to any person or entity.

You further agree that you may not submit any content:

You agree to indemnify and hold Five Natural (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), harmless from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable lawyers' fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

For any content that you submit, you grant Five Natural perpetual, irrevocable, royalty-free, transferable right and licence to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.

Limitation of Liability

FIVE NATURAL  INC. ("FIVE NATURAL") AND ITS AFFILIATES MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO GIFT CERTIFICATES, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT A GIFT CERTIFICATE CODE IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH GIFT CERTIFICATE. CERTAIN LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES.
